Terms and Conditions of Use

1. Definitions

“User” or “you” means the person who visits or uses SharpenResume. “User Content” includes resumes, files, text, instructions, and other information you provide. “Results” includes diagnoses, indicative scores produced by automated analysis, recommendations, optimized documents, and other generated content. “Membership” means the unlimited access subject to automatic renewal described in these Terms.

2. Eligibility and territory

You must be at least 18 years old and have the legal capacity to enter into a binding contract in your country or territory. You may not use the service on behalf of another person unless you have valid authorization to provide and process that person’s information. We may limit the availability of certain features, payment methods, languages, or markets for legal, technical, or commercial reasons.

3. Service description

SharpenResume allows you to upload up to three resume documents in supported formats, subject to the total size shown on the Platform. The service analyzes the content, identifies opportunities for improvement, generates recommendations, and delivers an optimized resume in PDF and editable Word format. Membership may include additional optimizations, version organization, and tools for applications, professional summaries, and interview preparation.

Delivery and processing depend on the quality, readability, and sufficiency of the documents provided, as well as the reasonable availability of the systems. Any timeframes shown are estimates and do not guarantee delivery at an exact time.

If we are unable to process the optimization with the documents received, we will notify you by email and ask you to send your resume again through a private link. Until we receive a document we can process, we cannot complete the optimization, and any delivery timeframe will run from the date we receive that new document. Without a valid document sent by you, it is impossible to complete the optimization.

4. Automated processing and artificial intelligence

SharpenResume uses automated systems and artificial intelligence providers, including OpenAI and Google Gemini, to analyze, review, and transform User Content. Cloudflare may coordinate processing and Supabase may privately store the documents and data needed for the service.

Results may contain errors, omissions, or inappropriate interpretations. You must carefully review all Results before sending them to an employer or using them in an application. SharpenResume does not make hiring decisions or act on behalf of employers, recruiters, or ATS providers.

SharpenResume does not intentionally use resumes to train its own models. Processing by providers is governed by the agreements and controls that apply to the services contracted by NOVALAYER.

5. Accuracy and responsibility for content

You retain ownership of User Content. You represent that the information you provide is truthful and that you have all necessary rights and authorizations to use it. You grant NOVALAYER a limited, nonexclusive, revocable license to host, copy, extract, transform, and transmit User Content only to the extent necessary to provide, protect, maintain, and technically improve the service, respond to your requests, and comply with law.

You must not use SharpenResume to invent or misrepresent employment, roles, dates, education, licenses, credentials, skills, responsibilities, achievements, metrics, or qualifications. You alone are responsible for verifying and approving the final version of your resume.

6. Accounts and access

Access may be provided through a magic link sent by email or through Google OAuth. If you choose Google, SharpenResume may receive the stable identifier, verified email address, name, image, and language included in the permissions shown. You are responsible for maintaining control of your email, Google account, and sessions, and for notifying us immediately of unauthorized access.

We may limit or suspend an account when reasonably necessary to protect the User, investigate fraud or abuse, resolve security or payment incidents, comply with law, or enforce these Terms.

7. Offer, price, and authorization to charge

The current offer consists of:

Before collecting billing details, we will clearly show the initial charge, currency, trial duration, renewal price and frequency, automatic renewal, and cancellation method. By activating the purchase button, you expressly authorize the initial charge shown and, if you do not cancel during the trial, the recurring monthly charges shown.

The total amount, including any indirect taxes we are required to collect, will be shown before you confirm the purchase. If you pay in a currency different from your account currency, your bank or payment provider may apply exchange rates or fees outside our control. Your bank statement descriptor may identify SharpenResume or NOVALAYER LLC.

8. Stripe and payment methods

Stripe processes payment credentials, transactions, subscriptions, and certain antifraud and regulatory checks. SharpenResume does not receive or store your full card details. Use of Stripe services may be subject to Stripe’s own terms and policies.

If a payment is not completed, the purchase is not completed. If a renewal fails or requires additional authentication, we may temporarily limit access while the payment remains pending.

9. Automatic renewal and price changes

Membership continues month to month until you cancel. Each renewal authorizes a charge of the then-current monthly fee to the saved payment method. Any price change or other material change will be communicated with the notice required by applicable law and will not apply retroactively.

When applicable law requires renewal reminders or additional notices, SharpenResume will send them to the email address associated with the account within the applicable legal timeframe.

10. Cancellation

You may cancel online at any time through your account or the “Request cancellation” page, without calling, giving a reason, accepting additional offers, or completing unnecessary steps. Online cancellation is effective to prevent future renewals as soon as you correctly complete the request. You will receive confirmation by email and retain access through the end of the period already paid for, unless you request immediate account deletion.

Cancellation does not by itself refund prior charges. If you cannot use the online flow, email support@sharpenresume.com. Keep your cancellation confirmation.

11. Satisfaction guarantee and refunds

SharpenResume offers a 100% satisfaction guarantee. Without giving a reason, you may request a full refund of the initial charge or the most recent monthly charge within 30 days after the relevant charge. You may request cancellation and a refund together.

We may reasonably verify the account, the identity of the transaction, and evident fraud before processing a refund. Each charge may be refunded only once. Approved refunds are sent to the original payment method; the time for funds to appear depends on Stripe, your bank, or card issuer. This guarantee does not limit nonwaivable rights under law.

12. Electronic communications

You agree to receive purchase confirmations, receipts, documents, and renewal, cancellation, security, account, and support notices electronically. These operational communications are not marketing. Commercial communications, if offered, will require the applicable consent or legal basis and will include an unsubscribe mechanism when required.

13. Acceptable use

You may not use the service for unlawful, fraudulent, deceptive, or discriminatory purposes; impersonate another person; upload third-party resumes without authorization; enter Social Security numbers, bank details, full card numbers, passwords, medical information, or other unnecessary sensitive data; interfere with the service; bypass controls; scrape data at scale; introduce malware; use stolen payment methods; manipulate transactions; or commercially exploit the software, materials, or Results other than for your personal professional use.

14. Intellectual property

SharpenResume, its software, design, interface, brand, databases, text, and materials belong to NOVALAYER or its licensors. You receive a personal, limited, revocable, nonexclusive, nontransferable right to use the service under these Terms. You may not copy, modify, resell, decompile, distribute, or create derivative services except with express authorization or under a nonwaivable legal right.

15. No employment or ATS guarantees

SharpenResume is a support tool and is not an employment agency, recruiting firm, employer, legal adviser, or professional adviser. Examples, animations, and comparisons are illustrative. ATS scores and findings are produced by an automated analysis of the document you provide (structure, contact details, wording, figures, and length); they are informational estimates and do not represent the official evaluation of any employer’s ATS.

We do not guarantee interviews, offers, employment, hiring, salary increases, a specific ATS score, compatibility with every ATS, or acceptance by an employer. Results depend on factors including your actual experience, the role, the job market, the employer, and the information provided.

16. Availability and third-party services

The service is provided “as is” and “as available” to the maximum extent permitted by law. We may perform maintenance, correct errors, change providers, or modify features. We do not guarantee uninterrupted or error-free operation. We are not responsible for interruptions or acts of providers, networks, banks, ATS providers, employers, or circumstances beyond our reasonable control.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVALAYER AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA, OPPORTUNITIES, EMPLOYMENT, OR GOODWILL.

EXCEPT FOR LIABILITIES THAT CANNOT LEGALLY BE LIMITED, NOVALAYER’S TOTAL AGGREGATE LIABILITY RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO SHARPENRESUME DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100 USD.

Some countries, states, or territories do not allow certain exclusions or limitations, so these provisions apply only to the extent permitted where you reside.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold NOVALAYER harmless from third-party claims arising from your unlawful use, your breach of these Terms, false User Content, or infringement of third-party rights, except to the extent caused by NOVALAYER’s unlawful conduct.

19. Deleting resumes and accounts

You may delete a resume from your account. It will immediately stop being displayed, and its originals, extracted text, Results, derivatives, and history will be deleted from active systems within seven days and from technical backups within thirty days, except for minimal records we must retain for billing, fraud, security, consent, disputes, or law.

Deleting the account cancels future renewals, revokes access and sessions, and begins deletion or anonymization of deletable data. Deletion does not automatically refund charges already made.

20. Termination

You may stop using the service and cancel Membership at any time. We may proportionately restrict or terminate access for a material breach, fraud, security risk, nonpayment, or legal requirement. Termination does not affect rights or obligations that by their nature should survive, including intellectual property, accrued payments, limitations of liability, and dispute resolution.

21. International consumers and right of withdrawal

Nothing in these Terms limits the mandatory rights available to you as a consumer in your country or territory. If you reside in the European Union, European Economic Area, or United Kingdom, you generally have fourteen days from entering into a distance contract to withdraw, subject to applicable legal exceptions.

When you request immediate access to or performance of services during that period, you expressly agree that performance may begin before the withdrawal period ends. For digital content supplied immediately, you acknowledge that you may lose the right of withdrawal once supply begins where the law permits and the required consent and acknowledgment have been obtained. For services already begun, we may deduct only the proportionate amount permitted by law. The commercial satisfaction guarantee remains available under section 11.

To withdraw where applicable, clearly notify support@sharpenresume.com of your decision and provide your name, associated email address, purchase date, and service purchased. You may also use this model: “I hereby give notice that I withdraw from the contract for [service], purchased on [date], in the name of [name], using [email].”

22. Governing law and disputes

These Terms are governed by applicable United States federal law and the law of the State of Delaware. This choice does not deprive you of the nonwaivable protections of the country, state, or territory of your habitual residence. If you are a consumer, you may bring proceedings before the courts that have jurisdiction under those mandatory rules.

Before filing a court claim, both parties will try in good faith to resolve the dispute through written notice and a reasonable response period. This requirement does not prevent either party from using an available small claims court or seeking urgent relief. We do not impose mandatory arbitration or a class-action waiver.

23. General provisions

These Terms, together with the Privacy Policy, Cookie Policy, and terms displayed at checkout, constitute the entire agreement relating to the service. If a provision is invalid, the remaining provisions remain effective. Failure to exercise a right is not a waiver. NOVALAYER may assign these Terms in connection with a merger, acquisition, reorganization, financing, or asset sale; you may not assign them without consent.

The English version is the contractual reference version. Translations are provided for convenience. If there is a discrepancy, the English version prevails unless applicable law requires otherwise.

24. Changes to these Terms

We may update these Terms. Material changes will be communicated in the manner and with the notice required by law. The updated date will appear at the beginning. Changes to price or renewal apply only prospectively and are subject to any required notices and consents.

This Policy protects Users, employers, providers, third parties, and SharpenResume against unlawful, deceptive, abusive, or discriminatory use.

Use SharpenResume lawfully and submit only resumes and information that belong to you or that you are authorized to process. Do not submit confidential or personal third-party information without authorization or infringe privacy, intellectual property, publicity, employment, or other rights.
